WHOLESALE TERMS & CONDITIONS
Welcome to Bikinis By Bridget. These Wholesale Terms & Conditions (“Wholesale Terms”) apply to all wholesale purchases from Bikinis By Bridget (“we,” “us,” “our”). By placing a wholesale order, the buyer (“you,” “customer,” “receiver,” or “consignee”) agrees to these Wholesale Terms in full. These Wholesale Terms supplement our general Terms of Service, Shipping Policy, and Refund Policy. If there is a conflict, these Wholesale Terms govern wholesale transactions.
1. Wholesale Orders & Eligibility
Wholesale orders are business-to-business (B2B) transactions intended for resale. By placing a wholesale order, you confirm you are purchasing as a business entity and not as an individual consumer. Wholesale pricing reflects discounted supplier rates and is not subject to consumer retail protections.
2. Final Sale Policy
All wholesale orders are final sale.
This includes, without limitation: change of mind, unsold inventory, incorrect assumptions regarding customs fees, refusal to pay duties/taxes/tariffs, and carrier delays or customs holds. No returns, refunds, or exchanges are permitted on wholesale orders except where required by law or explicitly agreed to in writing by Bikinis By Bridget.
3. Payment Terms
Payment is due in full prior to shipment unless otherwise agreed to in writing by Bikinis By Bridget.
We reserve the right to withhold shipment, cancel production, or suspend wholesale access until payment is received in cleared funds. Accepted payment methods may include credit card, bank transfer, and approved wholesale platforms (such as Faire).
4. Shipping Terms (DAP – Delivered At Place)
Unless otherwise stated in writing, wholesale shipments are sent under DAP (Delivered At Place). We arrange and pay for shipping to the destination country; however, the receiver is fully responsible for import-related charges.
5. Duties, Taxes, Tariffs & Customs Fees
Receiver Responsibility: The receiver/consignee is solely responsible for all import-related charges, including:
- Customs duties
- Import taxes (including U.S. customs duties)
- Tariffs
- Brokerage / processing fees
- VAT, GST, HST, or other local taxes
- Government or carrier-imposed fees
These charges are not included in product pricing or shipping and are outside of our control.
United States Orders
U.S. Customs & Border Protection and carriers (including UPS) may assess duties, tariffs, and brokerage fees. These are determined by U.S. authorities and/or the carrier.
6. Refused, Unpaid, or Abandoned Shipments
If a shipment is refused or abandoned, the receiver is responsible for all resulting costs, including:
- Return shipping fees
- Additional brokerage charges
- Storage or holding fees
- Administrative or reprocessing costs
- Carrier charges billed back to the sender
7. Inspection & Claims
All goods must be inspected immediately upon receipt. Claims must be submitted in writing within 7 calendar days of delivery. Claims submitted after this period will not be accepted.
8. Chargebacks & Payment Disputes
Chargebacks related to customs, duties, carrier delays, or refused shipments are prohibited and constitute a breach of these Terms.
9. No Warranties
All goods are sold “as is” and “as available,” without warranties of any kind.
10. Limitation of Liability
To the maximum extent permitted by law, Bikinis By Bridget’s total liability arising out of or related to any wholesale order, product, shipment, delay, or these Wholesale Terms shall not exceed the total amount paid by the buyer for the specific wholesale order giving rise to the claim.
In no event shall Bikinis By Bridget be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to lost profits, lost sales, business interruption, or reputational harm, even if advised of the possibility of such damages.
11. Force Majeure
We are not liable for delays caused by events beyond reasonable control. Including but not limited to customs delays, carrier disruptions, strikes, pandemics, or governmental actions.
12. Intellectual Property & Brand Representation
Unauthorized copying, misrepresentation, or misuse of branding may result in termination of wholesale access.
13. Right to Refuse or Cancel Orders
We reserve the right to refuse or cancel wholesale orders at our discretion.
14. Risk of Loss
Risk of loss transfers to the buyer once the shipment is tendered to the carrier. Delays, holds, or actions by customs authorities do not transfer liability back to the sender.
15. Billing & Recovery of Charges
If Bikinis By Bridget is billed by a carrier, customs authority, or third party for charges resulting from the receiver’s refusal or failure to pay duties, taxes, tariffs, brokerage fees, or related costs, such amounts will be invoiced to the receiver and are payable immediately upon receipt.
Bikinis By Bridget reserves the right to recover all such charges, deduct outstanding amounts from any refundable balance, withhold future shipments, suspend wholesale access, and pursue lawful collection methods if payment is not received.
16. Governing Law
Governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles.
17. Entire Agreement
These Terms supersede all prior agreements.
18. Severability & Survival
Invalid provisions do not affect remaining Terms. Payment, liability, and duties clauses survive completion.
